Terms and Conditions

These Terms and Conditions (“TERMS”) govern agreements (“AGREEMENT”) between CSB and the customer (“CUSTOMER”). CSB and CUSTOMER are collectively referred to as the “PARTIES.”


1. General Definitions

1.1 Parties and Scope

  • CSB: Copenhagen Sperm Bank.
  • CUSTOMER:
    • Private CUSTOMER: Individual of legal age purchasing or reserving SPERM UNITS, accessing donor profiles, or using storage/transport services.
    • Professional CUSTOMER: Clinic, hospital, physician, or legal entity acting commercially, either on behalf of private patients or themselves.

1.2 Acceptance of Terms

  • By purchasing SPERM UNITS or related services, CUSTOMER agrees to these TERMS.
  • SPERM UNITS and FAMILY SLOTS cannot be sold, redistributed, or otherwise transferred to third parties.
  • CUSTOMER is liable for any breach of these obligations.
  • CUSTOMER must retain a copy of the TERMS applicable at the time of purchase.

2. Ordering

2.1 Prices

  • Refer to invoices and the CSB website (exclusive of VAT).
  • CSB may adjust prices at any time without prior notice.

2.2 User Account

  • CUSTOMER must create a private ACCOUNT on the CSB website.
  • ACCOUNT information must be accurate and up to date.

2.3 Ordering

  • Orders can be placed via ACCOUNT, email, or phone.
  • Orders are binding only after written confirmation from CSB.

2.4 Communication

  • CSB communicates via the email provided in the ACCOUNT.
  • CSB is not liable for emails not received or containing errors.

2.5 Cancellation Policy

  • All orders and purchases for donor sperm and storage durations are final and may be not cancelled/refunded unless given individual exception.

2.6 Resale of SPERM UNITS

  • SPERM UNITS cannot be resold, distributed, or transferred under any circumstances.

2.7 Property Rights

  • SPERM UNITS remain CSB property until full payment is received.
  • SHIPPERS and transport boxes remain CSB property and must be returned promptly.

2.8 Purpose of SPERM UNITS

  • Use is strictly limited to fertility treatment, unless research or other testing purposes is granted by CSB to the healthcare organization.
  • Other uses, including research or genetic testing, require prior written consent from CSB.

2.9 Delivery

  • Delivered to the clinic designated by CUSTOMER as DAP per Incoterms 2020.
  • Delivery hours and express delivery options are subject to the options available form the courier that CSB utilize to ship the donor sperm order.

2.10 Receiving Shipments

  • Inspect shipments upon receipt.
  • Report visible deficiencies immediately.
  • Hidden deficiencies must be reported in writing no later than 14 days post-delivery.
  • CSB will replace deficient SPERM UNITS; no further claims allowed.

2.11 Dry Shippers and Transportation Boxes

  • SHIPPERS remain CSB property.
  • Must be returned within 12 days of delivery in original condition.
  • CSB may charge for unreturned SHIPPERS or weekly rental fees.

3. Donor Recruitment and Quality of Sperm Units

3.1 Donor Selection

  • Donors aged 18–40 at donation with written consent.

3.2 Screening

  • Screening per EU and Danish legislation regarding human tissue and cells.

3.3 Preparation and Quality

  • Handling follows Danish Patient Safety Authority guidelines.
  • Sperm quality and motility per WHO standards.

3.4 ID Release Donors

  • Donor may consent to disclosure of identity in certain cases.
  • CSB discloses information as legally required or to donor-conceived individuals of legal age.
  • Parents cannot obtain donor identity.

3.5 Prohibition on Donor Identification

  • CUSTOMER may not attempt to identify donors or other recipients.
  • Participation in forums is allowed only if the donor or recipient has voluntarily disclosed information.
  • Breach requires CUSTOMER to indemnify CSB and donors.

3.6 Summary of Records (SOR)

  • Donor profiles may be updated if new information arises.

4. Family Slot (FS) and Registration

4.1 Family Slot

  • Required in some countries to comply with national donor quotas.
  • FS information on the website is indicative; CSB disclaims responsibility for accuracy.

4.2 European Maximum FS

Donors available through CSB will be limited to a maximum of 25 families (Family Slots) in the EU, and will also be limited according to a specific country’s family limitations.

4.3 FS Refunds

The purchase of a FS can be refunded in full within 2 years of the original purchase date. After 2 years, no refund will be offered.

4.4 Registration of Pregnancy

  • Notify CSB of pregnancy outcome, sibling status, or termination without undue delay.
  • CSB may contact clinics to verify treatment results.

5. Serious Adverse Reactions

5.1 Notification of Reactions

  • Notify CSB immediately of serious adverse reactions or genetic disorders.
  • CSB may request medical records or blood samples for assessment.

5.2 Blocked / Quarantined Donors

Changes to donor screening requirements or the discovery of new medical or genetic information about a donor may restrict or prohibit the release of Donor Semen. In the event CSB must put a block to the use of donor semen, all purchasers of that donor semen will be notified. In the event that CSB is unable to ever release Donor Semen to Purchaser for these reasons, CSB will provide Purchaser with a full refund for Donor Semen that cannot be released, and that has not left CSB’s facility. In the event of a refund, Purchaser may elect to purchase additional Donor Semen at then current per vial rates.
